Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Pavazhi Technologies website and the design, development and related services we provide. By using our website, requesting a proposal, or entering into a project agreement with us, you accept these Terms in full. Where a signed statement of work or project agreement conflicts with these Terms, the signed agreement will prevail for that engagement.
Services
Pavazhi Technologies provides digital services that may include website design, web development, e-commerce, UI/UX design, branding, SEO and ongoing maintenance. The specific scope, deliverables, fees and timeline for each engagement are defined in a written proposal or statement of work agreed between us. We reserve the right to decline or discontinue work that falls outside an agreed scope or that we reasonably consider unlawful, unethical or beyond our capabilities.
Client Responsibilities
To deliver our best work, we rely on your cooperation. You agree to:
- Provide accurate, complete information and any materials, access or approvals we reasonably need;
- Respond to requests for feedback and sign-off within agreed timeframes;
- Ensure you own or are licensed to use any content, trademarks or assets you supply to us; and
- Designate a point of contact authorised to make decisions on your behalf.
Delays or incomplete information from your side may affect timelines and costs, for which we are not responsible.
Payments & Fees
Fees are set out in your proposal or statement of work. Unless otherwise agreed, we invoice a deposit before work begins, with the balance billed at agreed milestones or on completion. Invoices are payable within 14 days of issue. Late payments may incur interest and may result in work being paused until the account is settled. All fees are exclusive of applicable taxes, which are your responsibility. Deposits are non-refundable once work has commenced.
Project Timelines
We provide estimated timelines in good faith based on the agreed scope. Timelines assume timely feedback, approvals and materials from you. We are not liable for delays caused by factors outside our reasonable control, including late client input, third-party dependencies, or changes to scope. If a project stalls on your side for more than 30 days, we may treat it as suspended and reschedule remaining work subject to our availability.
Intellectual Property & Ownership
Upon full payment of all fees due, ownership of the final, approved deliverables created specifically for you transfers to you, except for third-party assets, open-source components and any pre-existing tools, frameworks or code libraries we use, which remain owned by their respective owners or by us and are licensed to you for use within the delivered work. We retain ownership of preliminary concepts, drafts and unused designs. We also reserve the right to display the completed work in our portfolio and marketing unless we agree otherwise in writing.
Revisions & Scope
Each engagement includes a defined number of revision rounds as stated in the proposal. Revisions are intended to refine work within the agreed direction. Requests that introduce new features, pages or substantial changes of direction are considered out of scope and will be quoted separately as additional work before we proceed.
Warranties & Disclaimers
We warrant that our services will be performed with reasonable skill and care in line with professional standards. Except as expressly stated, our services and deliverables are provided "as is" without further warranties of any kind, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose. We do not warrant that a website will be uninterrupted, error-free, or achieve any specific commercial result.
Limitation of Liability
To the fullest extent permitted by law, Pavazhi Technologies will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill, arising out of or in connection with our services. Our total aggregate liability for any claim relating to an engagement will not exceed the total fees paid by you for that engagement. Nothing in these Terms limits liability that cannot be limited by law.
Termination
Either party may terminate an engagement with written notice if the other materially breaches these Terms and fails to remedy the breach within 14 days. On termination, you agree to pay for all work completed and expenses incurred up to the termination date. Provisions relating to payment, intellectual property, liability and confidentiality survive termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Pavazhi Technologies is established, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of that jurisdiction, and we both agree to attempt to resolve any dispute amicably before pursuing formal proceedings.
Changes to Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The revised version takes effect when posted on this page, with the "Last updated" date amended accordingly. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
